Terms of Service

1. Acceptance of Terms

By accessing or using ParkHere ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including Property Managers ("Clients") and Parking Users ("End Users").

2. Description of Service

ParkHere provides a digital platform for managing parking operations, including:

• Property management and resident tracking for Clients
• Visitor pass requests and approvals
• Metered parking pass purchases
• Residential parking management
• QR code-based property access

3. User Accounts

3.1 Registration

To use ParkHere, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Types

Client Accounts: Property managers who subscribe to manage their properties must provide valid payment information and maintain an active subscription.

End User Accounts: Parking users who request passes or purchase metered parking through the platform.

3.3 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Client Subscription Terms

4.1 Free Trial

New Client accounts receive a 14-day free trial. Your payment method will be charged automatically when the trial ends unless you cancel before the trial expiration date.

4.2 Subscription Billing

Subscriptions are billed monthly in advance. By subscribing, you authorize ParkHere to charge your payment method on a recurring basis.

4.3 Payment Method

You must provide a valid payment method to create a Client account. Payment information is securely processed through our payment processor (Helcim).

4.4 Cancellation

You may cancel your subscription at any time through the billing page. Cancellations take effect immediately, and no refunds are provided for partial months.

4.5 Failed Payments

If a payment fails, your account will be marked as "past due" and you will have 7 days to update your payment method. After 7 days, your subscription may be canceled and your properties removed from the system.

5. End User Payment Terms

5.1 Metered Parking

End Users purchasing metered parking passes must pay the posted rates. All sales are final and non-refundable unless required by law.

5.2 Visitor Passes

Visitor pass requests are subject to approval by the property owner. ParkHere is not responsible for denied requests.

6. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose
• Violate any applicable laws or regulations
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to the Service
• Use automated systems to access the Service without permission
• Share fraudulent or misleading information
• Abuse, harass, or threaten other users

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using ParkHere, you consent to our collection and use of your information as described in the Privacy Policy.

8. Intellectual Property

All content, features, and functionality of ParkHere, including but not limited to text, graphics, logos, and software, are owned by ParkHere or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

ParkHere is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

9.2 Limitation of Liability

To the maximum extent permitted by law, ParkHere shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

9.3 Parking Violations

ParkHere is not responsible for parking violations, towing, or other enforcement actions. Users are responsible for complying with all parking rules and regulations.

10. Indemnification

You agree to indemnify and hold harmless ParkHere, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the province in which ParkHere operates, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the applicable arbitration rules, except where prohibited by law.
